These Website Terms and Conditions (“Terms”) govern access to and use of www.helmsleyestate.co.za and its pages, interactive maps, plot information, home-design information, enquiry facilities and related digital services (“Website”). The Website is operated for Helmsley Country Estate (“Helmsley”, “we”, “us” or “our”).

By using the Website, you agree to these Terms. If you do not agree, please stop using the Website. Nothing in these Terms excludes or limits rights that cannot lawfully be excluded, including applicable rights under the Consumer Protection Act 68 of 2008.

2. Purpose of the Website

The Website provides general information about Helmsley, including its setting, masterplan, villages, plots, homes, amenities, location, journal, availability and enquiry process. It allows visitors to express interest, request information and arrange contact with the sales team.

The Website is not an online property-sale platform. Submitting an enquiry, selecting a plot, saving a preference, clicking an availability indicator or receiving an automated acknowledgement does not reserve a property and does not create an offer, option, sale, lease, agency, mandate or other binding agreement.

3. Property information is indicative

We take reasonable care to present useful and current information. However, property development is subject to change, approvals and final documentation. Unless expressly incorporated into a written agreement signed by the relevant parties:

  • masterplans, phase boundaries, village names, plot outlines, dimensions, contours, orientations and positions are illustrative and not survey diagrams;
  • interactive-map pins, polygons, satellite layers and plotted coordinates may be approximate;
  • architectural renders, photographs, videos, landscaping, furnishings, finishes, views and lifestyle imagery are artist impressions or illustrative material;
  • home plans, areas, room layouts, floor plans, specifications and optional extras may change through design development, engineering, siting or approval processes;
  • availability, status, pricing, levies, rates, taxes, fees, incentives and completion estimates may change without notice;
  • amenities, roads, landscaping, water features, commercial areas, community facilities and future phases may be altered, relocated, delivered in stages or not proceed as illustrated; and
  • distances and travel times are estimates and may vary due to route, traffic and other conditions.

Images may include items not included in a sale, such as furniture, décor, landscaping, pools, appliances or optional upgrades. Prospective purchasers must confirm all material information with an authorised Helmsley representative and rely on the final signed transaction documents, approved plans, specifications, diagrams and disclosures.

4. Availability, pricing and reservations

Website availability is intended to assist initial enquiries and may not reflect a transaction, hold or status change that has not yet been processed. A property remains subject to availability until the required written documents have been signed, any applicable deposit or consideration has been received and the relevant seller or authorised party has confirmed the transaction in writing.

Prices shown on the Website are indicative unless expressly stated otherwise. Users should confirm whether a price includes or excludes land, VAT, transfer duty, transfer costs, bond costs, professional fees, optional extras, landscaping, pools, levies, rates or other charges. We may correct an obvious pricing, status or typographical error.

5. No professional advice

Website content is not legal, conveyancing, tax, investment, financial, engineering, architectural or planning advice. Property decisions involve risk and individual circumstances. You should obtain independent professional advice and conduct appropriate inspections and due diligence before making a decision or signing any document.

No statement on the Website is a guarantee of capital growth, investment return, rental income, financing, approval, construction duration or future value.

6. Enquiries and electronic communications

When you submit an enquiry, you confirm that the information supplied is accurate and that you are entitled to provide it. You authorise Helmsley and its authorised representatives to use the details to respond, arrange a viewing, provide relevant property information and manage the enquiry as described in our Privacy & POPIA Policy.

An automated form confirmation indicates only that the Website has processed the submission. It is not confirmation of receipt by a particular person, acceptance of an offer or creation of a binding agreement. If your matter is urgent, please contact the sales team directly.

You consent to receiving communications electronically for purposes connected with your enquiry or relationship. Direct marketing is governed by our Privacy & POPIA Policy and applicable law, and you may opt out of marketing.

7. Acceptable use

You may use the Website only for lawful, personal or legitimate business purposes connected with learning about Helmsley. You may not:

  • interfere with the Website, servers, security, forms, rate limits or other users;
  • introduce malware, harmful code, automated attacks or deceptive submissions;
  • scrape, harvest, copy or extract data systematically without written permission;
  • attempt to gain unauthorised access to an account, system, database, CRM or administrative area;
  • impersonate another person or submit false, unlawful, defamatory or misleading content;
  • use Website content, plot data or imagery to misrepresent an affiliation, authority or property offering;

We may restrict or block access where reasonably necessary to protect the Website, users, information or our rights.

8. Intellectual property

The Website and its content—including branding, names, logos, designs, copy, photographs, renders, plans, maps, graphics, layouts, databases, software and code—are owned by or licensed to Helmsley and are protected by intellectual-property law.

You may view, download or print a reasonable amount of content for your own non-commercial evaluation of Helmsley. No other licence is granted. You may not reproduce, adapt, publish, sell, distribute, frame, commercially exploit or create derivative material without prior written permission from the relevant rights holder.

“Helmsley Country Estate”, its logo and associated branding may not be used without written authorisation.

9. User submissions

You retain ownership of original material you submit, but grant us a non-exclusive licence to receive, store, reproduce and use it only as reasonably necessary to respond to you, administer a transaction, comply with law or operate the relevant service. Do not submit confidential material unrelated to an enquiry or content that infringes another person’s rights.

10. Privacy, POPIA and cookies

Our collection and use of personal information are governed by the Privacy & POPIA Policy. By using the Website, you acknowledge that technical information and essential cookies may be processed to operate and secure it. Non-essential analytics or marketing technologies are used only where appropriately configured and permitted.

11. Third-party services and links

The Website may use or link to independent services such as maps, social-media platforms, analytics, messaging, finance providers, professional advisers or other websites. A link or integration does not mean that we control or endorse all third-party content, products or practices. Third parties are responsible for their own services, availability, security, terms and privacy practices.

12. Website availability and security

We aim to keep the Website available and secure but do not warrant uninterrupted, error-free or virus-free operation. Access may be limited by maintenance, updates, connectivity, hosting failures, cyber incidents, load-shedding, force majeure or circumstances outside our reasonable control. You are responsible for using appropriate security software, safeguarding your devices and independently verifying important communications.

13. Corrections and changes

We may change, correct, suspend or remove Website content or functionality without notice. We may update these Terms by publishing a revised version with a new effective date. Continued use after publication constitutes acceptance of the revised Terms, subject to applicable law. Changes to a signed property agreement require the process specified in that agreement and are not made merely by updating this Website.

14. Disclaimers

To the fullest extent permitted by law, the Website and its content are provided on an “as available” basis. We make no warranty that all content is complete, current or suitable for every purpose. Any warranty or representation relating to a property must be contained in the applicable signed agreement to be binding.

This clause does not exclude an express written representation made by an authorised person in a binding agreement, nor any statutory warranty or right that cannot lawfully be excluded.

15. Limitation of liability

Subject to rights and liabilities that cannot lawfully be limited, Helmsley, its owners, developers, representatives, service providers and personnel will not be liable for indirect, consequential or special loss arising solely from use of, inability to use, or reliance on general Website content, third-party services or an unauthorised alteration of the Website.

Nothing in these Terms excludes liability for fraud, gross negligence, wilful misconduct or any other liability that may not be excluded under South African law. If the Consumer Protection Act applies, these Terms must be interpreted consistently with it.

16. Indemnity

To the extent permitted by law, you are responsible for loss reasonably arising from your unlawful use of the Website, infringement of intellectual-property rights, malicious interference with the Website or material breach of these Terms. This clause does not require a consumer to indemnify us for loss caused by our own prohibited conduct, gross negligence or breach of a non-excludable legal duty.

17. Electronic Communications and Transactions Act

These Terms and the Website are intended to comply with applicable provisions of the Electronic Communications and Transactions Act 25 of 2002 (“ECTA”). Information appearing on the Website should not be interpreted as creating an electronic property-sale agreement unless the relevant parties expressly follow an authorised electronic-signature and contracting process.

A data message sent to us is regarded as received when it enters an information system designated by us and is capable of being retrieved and processed. An automated delivery notice alone does not prove that a particular employee has read or accepted the message.

18. Governing law and disputes

These Terms are governed by the laws of the Republic of South Africa. Before commencing proceedings, you are encouraged to contact us at info@helmsleyestate.co.za so that the matter can be addressed in good faith. Subject to any consumer right to approach a competent tribunal or court, disputes will be subject to the jurisdiction of the competent courts of South Africa.

19. General

If any provision is unlawful or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will continue. A failure or delay in enforcing a right is not a waiver. Headings are for convenience and do not affect interpretation.

These Terms govern Website use only. A signed reservation, offer, sale, building, homeowners’ association or other agreement may impose additional terms and will prevail in relation to its subject matter if there is a conflict.
